The American School Foundation, A.C is seeking an experienced Sr. Corporate Counsel to provide comprehensive legal and compliance support to the General Counsel Office. This is a unique opportunity for a discreet and seasoned legal professional to manage a broad portfolio of legal matters with a strategic and hands-on approach.

Required Qualifications:

• Law degree (with título y cédula)
• Minimum 8 years of experience in legal, corporate, or compliance roles within public institutions, private companies, or similar entities.
• Fluent in English (Interviews will be in English, preferably with an English language certification)
• Mexican Citizenship

Key Responsibilities:

Legal Advisory

• Provide day-to-day legal guidance to internal departments such as Human Capital, Finance, IT, and others.
• Manage legal documents, coordinate public notaries, and liaise with external legal firms.
• Draft legal communications and documentation while ensuring adherence to legal standards and minimizing risk exposure.

Contract Management

• Draft, review, negotiate, and manage a variety of commercial contracts including NDAs, service agreements, supply and construction contracts.

Corporate Governance

• Assist with the preparation of board resolutions, corporate minutes, and maintenance of corporate books.
• Support the management of powers of attorney and related authorizations.

Compliance and Ethics

• Develop and enforce compliance programs and internal policies.
• Support or lead internal investigations and monitor regulatory compliance across departments.

Data Privacy

• Maintain and update privacy policies and ensure compliance with national data protection laws and best practices.

Labor Law

• Advise on employment-related matters including hiring, contracts, terminations, and workplace investigations.

Infrastructure Projects

• Provide legal oversight and risk mitigation for construction and infrastructure projects, including licensing and contractor agreements.

Training

• Design and deliver legal and compliance training sessions tailored to organizational needs.

Risk Management

• Identify legal risks across the organization and develop mitigation strategies accordingly.
