Position Summary
We are seeking a highly qualified Attorney specialized in Corporate Law and Commercial Contracts to join our growing practice. The ideal candidate will have a strong foundation in corporate governance, contract negotiation and drafting, and transactional support for both domestic and international clients. This position requires business fluency in English and excellent legal writing and communication skills.
Key Responsibilities
- Draft, review, and negotiate a wide range of commercial agreements, including:
- Master Service Agreements (MSAs)
- Non-Disclosure Agreements (NDAs)
- License, supply, distribution, agency and joint venture contracts
- LOIs, MOUs and transactional documentation
- Advise clients on corporate structures, incorporation of legal entities, shareholder agreements, capitalizations, and reorganizations.
- Manage legal compliance for corporate governance, including maintenance of corporate books, preparation of board and shareholder resolutions, and filings before public registries.
- Provide support in M&A transactions, including due diligence and transactional closings.
- Coordinate with notaries, government agencies, and foreign counsel when applicable.
- Prepare legal memoranda, risk assessments and internal reports for cross-border operations.
- Ensure that contract terms reflect the client's business and legal interests and are aligned with local and international standards.
Candidate Profile – Minimum Qualifications
- Law degree from a recognized university and valid license to practice in Mexico.
- 3 to 5 years of relevant experience in Corporate Law and Contract Law.
- Advanced English (C1 level or higher) – both verbal and legal written communication (required).
- Strong drafting and negotiation skills in English and Spanish.
- Experience working with multinational clients or cross-border transactions.
- Deep understanding of Mexican commercial and corporate law (including LGSM, Código de Comercio, Código Civil, etc.).
- Comfortable working independently and collaboratively on complex matters.
Preferred Qualifications
- Experience in M&A or corporate reorganizations.
- Understanding of international contracting principles (UCC, INCOTERMS, ICC model clauses).
- Knowledge of foreign investment regulations and international business law is a plus.
- Prior experience at an international law firm or in-house legal department of a multinational company.
